Reporting to the Director, Legal (Commercial Contracting), the Legal Counsel will be responsible for providing high quality legal advice and services on matters relating to the operations and other business activities of the Future Fund Board of Guardians and the Future Fund Management Agency. The role is focussed on supporting the organisation on the commercial arrangements that underpin its business operations, including, for example, procurement.
Key Responsibilities
Legal Advice and Service
• provide, or otherwise procure and co-ordinate the provision of, timely commercial legal advice and support to the organisation on a range of commercial arrangements and issues
o review, draft and negotiate the organisation’s commercial contracts, including (1) “click and accept” contracts, data services agreements, professional services agreements, consultancy services agreements, software licenses and SAAS and cloud agreements, confidentiality agreements and complex technology agreements (2) arrangements which take the form of Commonwealth templates (for example, arrangements under the Commonwealth Contracting Suite, Digital Marketplace and Whole of Australian Government arrangements)
o manage legal risk in accordance with relevant risk appetites, including through contributing to internal training
o ensure compliance with the Commonwealth Legal Services Directions and all applicable laws as well as relevant organisational policies, procedures, and positions
o assist with key regulatory reporting and compliance processes of the Future Fund Management Agency, as required
o assist with continuous improvement of the Legal team function, including developing, administering, and updating precedents, legal policies, procedures, guidelines, and positions
o monitor external legal fee expenditure
o administer key agreement management systems, such as contract management registers and matter management tools
• Review, draft and negotiate the organisation’s commercial contracts including consultancy and other services agreements and operational contracts and arrangements
• Work with senior members of the Legal team to manage legal risk in accordance with relevant risk appetites including through contributing to internal training
• Liaise with external counsel in relation to the legal aspects of the organisation’s operations and related business activities
• Monitor proposed and new legislation and regulatory developments which may affect the organisation’s activities
• Participate in, and contribute to, projects or initiatives of strategic importance to the Legal team and the organisation as required
Relationship Management
• Work with senior members of the Legal team to develop and manage relationships with external lawyers and other professional advisors, including monitoring and managing legal fees expenditure and promoting efficiencies in the sourcing and use of external legal services
• Foster and maintain strong working relationships with key internal and external stakeholders, including, but not limited to:
Internal stakeholders:
o the Legal team
o the Procurement & Commercial Services team
o other business units including Technology, PC&I and Ogranisation Enablement
External stakeholders:
o external lawyers and professional advisor’s other commercial counterparties and partners
About You
Qualifications
• A law degree from an Australian tertiary institution or other legal qualification recognised for the purpose of admission to legal practice in Victoria or another State of Australia
• Admitted to practice in Victoria or another State of Australia as a solicitor and be currently eligible to hold an unconditional Victorian legal practising certificate
• Post-qualification experiences of 4-8 years
Knowledge and Experience
• A commercial transactional lawyer with significant experience gained from a major commercial law firm and/or in-house in a high-quality commercial or government organisation advising on commercial transactions and contracts preferably in a fast paced/high volume environment
• Excellent drafting and negotiation skills
• Demonstrated legal risk assessment and advisory experience with an ability to provide legal advice and recommendations
• Demonstrated ability to not only provide legal input into matters, but to also add value from a solutions-focussed, strategic, business point of view and to provide commercially focussed legal advice
• Previous experience in either or both Government and technology law is desirable but not essential
